Terms of Service

1.1 Purpose

These Terms of Service (hereinafter the “Terms”) govern access to and use of the InstAItools.com platform, a marketplace dedicated to the sale of artificial intelligence tools (micro-apps, prompt packs, expert sessions), operated by InstAItools.com.

1.2 Acceptance

Accessing the platform, creating an account or using any of the services constitutes full and unreserved acceptance of these Terms. If you do not accept them, you must immediately stop using the platform.

1.3 Modification

InstAItools.com reserves the right to amend these Terms at any time. Users will be notified by email at least 30 days before any substantial change. Continued use of the platform after notification constitutes acceptance of the new Terms.

For the purposes of these Terms, the following terms are defined as follows:

3.1 Registration requirements

Full use of the services requires the creation of an account. Registration is open to any natural person of legal age (18 or over) or any duly incorporated legal entity. The user warrants the accuracy of the information provided at registration.

3.2 Account security

The user is solely responsible for the confidentiality of their credentials. Any use of the account is presumed to be made by its holder. In case of suspected compromise, the user must immediately contact hello@instaitools.com.

3.3 Suspension and termination

InstAItools.com reserves the right to suspend or delete any account in case of breach of these Terms, fraudulent behaviour, circumvention of the platform, or any act harming the interests of the community.

4.1 Catalogue and browsing

The platform offers a catalogue of AI tools classified by type (micro-app, prompt pack, expert session), category and rating. Browsing and search are free and accessible without registration.

4.2 Purchase process

All purchases are processed by Stripe, a third-party payment provider. The buyer receives an email confirmation with immediate access to the product or booking instructions. Payment is collected before any delivery or access.

4.3 Refund guarantee

The buyer benefits from a 14-calendar-day refund guarantee from the date of purchase, with no justification required. Beyond this period, no refund will be granted except in case of a proven defect of the product. Refunds are processed by Stripe within 5 to 10 business days.

4.4 Best-price guarantee

All sellers contractually commit to offering their products on InstAItools.com at a price at least 10 % lower than their usual price on other channels (Gumroad, PromptBase, personal site, etc.). This guarantee is verified during seller onboarding.

4.5 Verified reviews

Only users who have made a purchase through the platform may leave a review. Reviews are subject to moderation and must comply with the rules of good conduct (no offensive content, no conflict of interest). InstAItools.com reserves the right to remove any review that does not comply with these rules.

5.1 Listing requirements

Any seller wishing to list a product must submit an application through the dedicated form. InstAItools.com will validate it within 48 business hours. Products must be functional, honestly described, AI-powered, and compliant with the platform's quality standards.

Earnings are paid out automatically on the 1st of each calendar month via Stripe Connect, directly to the seller's bank account. Minimum payout threshold: 20 USD. A retention period of 14 days applies to allow for refund processing.

5.4 Exclusive-price obligation

The seller undertakes to maintain on InstAItools.com a price at least 10 % lower than their usual price on any other distribution channel. Any breach observed will result in a formal notice followed by suspension of the relevant listing.

5.5 Intellectual property

Sellers retain full ownership of intellectual property rights in their products. Listing on InstAItools.com constitutes a non-exclusive licence granted to the platform for the sole purposes of display and sale. InstAItools.com claims no rights over the code, prompts or content of the products.

5.6 Stripe Connect onboarding

To receive payments, the seller must complete the Stripe Connect onboarding process. Bank details are processed exclusively by Stripe and never transit through InstAItools.com's servers.

6.1 Status and conditions

The Early Builder programme is open to the first 100 sellers accepted before the official launch of the platform. This status is personal, non-transferable and permanent. It confers preferential benefits locked for life, defined in the Commitment Letter and Affiliation Agreement signed separately.

6.2 Permanent benefits

• 85 % revenue share on all direct sales — locked for life
• 20 % fixed affiliate commission for life on all sales generated through their link
• Permanent “Early Builder” badge on the profile and all listings
• Priority placement in the catalogue at launch and during algorithmic updates
• Private beta access before public launch
• Direct access to the founder for product feedback

6.3 Affiliate link

Each Early Builder receives a unique affiliate link (instaitools.com/?ref=[code]) before the final Marketplace opens. This link generates a 20 % commission on any purchase made on the platform within 60 days of the click, regardless of the product purchased. This rate is fixed and cannot be reduced.

7.1 Technical measures

• Buyer emails are not disclosed to sellers prior to purchase
• Internal messaging is the only authorised communication channel before a transaction
• External links are filtered in pre-purchase messages
• Expert sessions are paid via Stripe before the meeting link is revealed

7.2 Reporting obligation

Any seller aware of a circumvention attempt by a buyer must report it to hello@instaitools.com. InstAItools.com reserves the right to suspend access for any user involved in a proven bypass attempt.

The following are strictly prohibited on the platform:

• Any misleading or non-functional product, or any product with an inaccurate description
• Any content infringing third-party intellectual property rights
• Any tool designed for illegal, fraudulent or malicious activities
• Any pornographic, violent, hateful or discriminatory content
• Any non-consensual surveillance, abusive scraping or spam-generation tool
• Any product impersonating or misappropriating the identity of a third party
• Any service offering contrary to the terms of Stripe, OpenAI or third-party APIs used

Breach of these prohibitions results in immediate removal of the listing and suspension of the account, without notice or compensation.

9.1 Intermediary role

InstAItools.com acts as a technical intermediary between buyers and sellers. The platform is not the publisher of the products listed and cannot be held liable for their content, operation or suitability for the buyer's needs.

9.2 Limitation of liability

InstAItools.com's liability is limited to the amount of the commission received on the transaction in question. Under no circumstances may InstAItools.com be held liable for indirect losses, loss of profits, business prejudice or loss of data.

9.3 Availability

InstAItools.com undertakes to maintain platform availability of 99 % on a monthly average, but cannot guarantee continuous, uninterrupted availability. Scheduled maintenance will be announced 48 hours in advance.

All elements making up the InstAItools.com platform (design, source code, brand, logo, architecture, texts, interfaces) are the exclusive property of InstAItools.com and are protected by intellectual property law. Any unauthorised reproduction, representation, modification or use is strictly prohibited and constitutes infringement.

These Terms are governed by French law, regardless of the user's nationality or the country from which they access the platform. In case of dispute, the parties undertake to seek an amicable solution within 30 days. Failing agreement, the dispute will be submitted to the competent courts of the registered office of InstAItools.com (France).
